    Sounds complicated. I'd seek legal advice as it appears a number of contracts have been entered into but the primary one is in your first sentence. On face value, false representation exists. It's pretty complicated, but generally, when a representation is made to induce a contract, it is not sufficient that the statement be true only at the time it was made. If circumstances change prior to the contract being executed, the representor has to advise the representee of those changes. It seems many changes eventuated. It's complicated b/balls as to what you agreed too, implied or otherwise, particularly if associated agreements have been entered into, - but that's what you could tell them - but again, I'd seek legal advice as to whether they were deliberately fraudulent or negligible - the TPA & the Mispresentation Act in your state may be of help.
