CELLSENSE MERGES WITH BIOCELL
The Board of Stirling Resources Limited (ASX:SRE), formally known as Alexanders Securities Limited (ASX:ALE), is pleased to
announce that its Private Cord Blood HealthCare Subsidiary, Cellsense Pty Ltd (“Cellsense”), has reached an agreement to
merge with Biocell Pty Ltd (“Biocell”) to operate under the new name “Australian Stem Cell HealthCare Pty Ltd” to form
the largest Private Cord Blood Stem Cell Bank in Australia. The merger will be achieved through the issue of Biocell shares
to effect a 50:50 merger with Cellsense. The transaction will be cash positive from day 1, excluding the one‐off abnormal
costs of merging the 2 companies.
The Cellsense merger with Biocell represents a significant milestone in the expansion of Australian private cord blood
collection and storage services, which will bring sustainability, stability and clarity to this emerging industry that
represents the future of health care.
The impacts of the use of cord blood stem cells in the treatment of a wide variety of conditions is increasing at a rapid rate
as medical research and clinical application unlock the potential that stem cells can provide, which is reflected in the
uptake rates around the world ranging from 4% to 7% in the USA and Europe and up to 23% in Singapore and 45% in
Korea.
This merger will bring together the best of both companies. Cellsense and Biocell will become differentiated product
brands within Australian Stem Cell HealthCare Pty Ltd, which will result in high quality and affordable products as well as
affordable and secure services Australia wide.
Announcing the merger, Cellsense’s CEO, Dr Anthony Coulepis, said “We are delighted to have reached agreement with
Biocell and its majority shareholder, Cordlife Limited, which has extensive experience in private cord blood banking
around the world. We look forward to this merger, which will deliver world’s best practice to Australian families providing
