I don't have time for an overly detailed response.
But in your example - given there are a large number of OC options outstanding - any offer would have to include them (in order for it to get over the line).
In that case, using a simple example, the offer for PEN would be say 15c and the offer for the OC's would be 12c (being the offer for the heads less the exercise price).
