My thoughts, not financial advice, in case anyone was wondering about what to do:
Resolution 1: if Resolution 1 (Ratification of the placement shares) is not ratified: - AGAINST
What it means:
The 40 million shares issued in December still exist — we’re not undoing the raise.
BUT they continue to count toward Paradigm’s placement limit under ASX Listing Rule 7.1.
That means the company will have less flexibility to issue new shares without coming back to shareholders for approval.
Why that matters:
If they want to raise again soon (likely, given history), they'll need to explain more clearly to shareholders:
- What the funding is for
- Whether it’s dilutive or strategic
- Who the participants are
This forces transparency and accountability
— especially if the next raise is under-priced or favours select parties - cough - Bell Potter - cough
So yes — voting Against this resolution:
Does not reverse the raise, butRestricts further dilution unless justified, andEncourages better communication and planningIf you’re frustrated with vague funding promises and opportunistic CRs, this is a way to apply pressure without risking the company’s existing capital.
Resolution 2 – Amendment to Constitution- AGAINST
Why:The proposed changes would allow virtual-only shareholder meetings, reducing in-person accountability.With the CEO and Chairman being the same person, and a history of "less than satisfactory" communication and funding guidance, this change could further restrict shareholder scrutiny.
In-person and hybrid meetings provide a more transparent forum for shareholders to ask difficult questions and hold management accountable in real time.While other updates (e.g. ASX compliance, minimum holdings) may be standard, the risk of weakened governance through virtual-only meetings outweighs the administrative benefit in the current environment.
Until Paradigm demonstrates improved transparency and governance, I do not support any changes that could reduce direct shareholder engagement.
