I don't think Breeze and Co have nearly enough to get the vote through as they have been watered down a lot over the years but it will still take everyone to vote it down.
One thing you are mistaken on is the passive role of MEC in PEP11. That was the whole point of the agreement they signed. MEC basically handed control of Advent over to Breeze so he is effectively running Advent. MEC have also agreed not to mess with the Advent Board for a period of time as part of this agreement. The thing you have to realise about a guy like Breeze is that he wants it ALL...everything. He wants MEC, BPH and Advent all back in his control and the games he plays is the way he goes about thinking he is going to get MEC back, when in reality this is never going to happen, as long as shareholders vote NO to the in-specie distribution.

That is about right. Vote NO keeps the pressure on Breeze. Gives MEC the right to fulfill its original mandate. Breeze had his opportunity and it didn't work out.
