Basis on Shareholders:
* Minimum 400 investors @$2,000 or some derived combo (I think GGP would fail this)
OR
Basis on Company size:
* A profit of $1M for last 3 years plus $400K last 12 mths (Pretty sure GGP fails here) OR * Net Tangible Assets of $3M (We probably just pass this - depends on if we have impairments coming - which we should) OR * Market cap of $10M (Know we fail this!)
