They have plenty to hide rasberry - they think they have identified a way to effectively (and legally) steal the company for virtually nothing. Why on earth would they want to let shareholders in on their heist when it is the shareholders that they are going to be stealing the company from?
They don't call 'em pirates for nothing.
Vote NO - unless of course there is a box on the proxy form that says "NO, and go to hell you filthy pirate scum", in which case I would suggest ticking that one.
