UCL closed at 0.8c. The offer from UCL values BON at 7.2c. Even if you use 0.7c for the UCL share price you still get 6.3c for BON. Why the hell would anyone dump their BON shares for 5.5c. There's still a seller for 30,000 shares at 5.5c.
If MAK are getting a good deal for BON then surely the next step is to go after UCL with an offer of 1 MAK share for every 90 UCL shares.
