    The hybrid is a form of equity, not debt as you continually refer to it - check where it sits on the balance sheet if you need clarification. As even you point out distributions are totally discretionary.

    Your definition of insolvency is correct - but as no debt as been raised by failing to pay the distribution, then the company isn't insolvent.
