Thank you to the many posters yesterday who shared information about a possible DOCA. For those who have yet to email Kieran Bright their indicative, non-binding intentions for participating in a future capital raise held by an acquiring party, the deadline KordaMentha set is today, 10 February, COB in Perth (therefore 8pm in Sydney/Melbourne, 7pm in Queensland).
[email protected] (No caps, as is customary, if anyone's email didn't send successfully.)
I will come back later and respond fully and, where appropriate, individually to the many valid questions above, but in a few minutes now:
- Yes, details around this hopeful DOCA are necessary before shareholders commit to providing more funds.
- Many parties have been in the data room since entering VA, but one particular entity offers the best opportunity for existing shareholders to reclaim value by coming out of suspension. Of course until term sheets are exchanged, Non-Disclosure Agreements are in place, ensuring information is confidential.
- Five Top 20 holders (that I know of, myself included) have sent our intentions to participate to Kieran. I'm aware of a further 16 shareholders who have done so, some of whom would be in our Top 20, if their holdings were combined.
- Of course shareholders who have supported LPD for upwards of 9 years do not wish to lose our investment and are doing what we can to pave a way forward to a productive and prosperous future. Across 2 months of innumerable phone calls, emails and Teams meetings, I can vouch that the KordaMentha team have been working very hard to secure a beneficial outcome for existing shareholders. One example is the importance they have placed upon existing LPD shareholders being permitted to participate in an acquiring party's capital raise, to minimise dilution. They have worked across weekends, including the recent long weekend, calls and emails continuing.
- To whoever moderated one of my 2 posts last month: to substantiate, all one needed to do was ring or email KordaMentha. They provided the names of 4 representatives in their 5 December 2024 ASX announcement, plus email addresses. On KM's website, phone numbers are listed beneath photographs of partners and directors. My first conversation with KM was on 11 December, before our first creditors' meeting on 13 December. Any shareholder could have done the same and I presume many have.
- I explained in my moderated post that KordaMentha informed that they are unable (as in, not allowed) to reach out to shareholders. They cannot advocate for a company's direction. Creditors vote. KM do their best to secure value for creditors and shareholders, thus the "Shareholder Circular" they put out last Friday (which many of you hopefully received, should KM have had your email address). Additionally, in January, they put together a Shareholder Info Pack. This prompted my 2 earlier posts.
Will keep everything else for later, with Perth COB in but a few hours. Fwiw, I am very hopeful that KM will pull this off. Good luck to us all and may better days be ahead for LPD shareholders. Cheers, all.
