Re the embargo on share purchases.
Typically when a firm (investment bank etc) is engaged to assist in some form of corporate dealings with a company its employees are not allowed to trade in the stock of the company they are dealing with.
Many investment firms limit their employees ability to buy/sell shares by having a 'black list' of stocks they cannot purchase. This may be because of the above reason or because the firm itself is investing in the stocks.
