It was just that their understanding was significantly devoid of legalistic reality. They had all watched the great Australian movie The Castle.
As in that movie all legally binding agreements can be boiled to to one thing (in Australia anyway) and that is;
"the vibe" its all about "the vibe" man!
It was simply that whilst our board spent time at the movies watching such greats as The Castle......Lord Hoffman was out at the ballet watching Swan Lake and going to the London Symphony Orchestra.
Maybe they could have sent him a DVD.
