Set up an Offer open to 12,000 subscribers. Current shareholders preferenced.
Each pay $100,000.
Makes $1.2 Billion.
The 12,000 become the owners of SGH.
Pay off banks' first instalment May 2018, keep enough for the second instalment. I can't quite remember the amounts - say $750 M?
Plus $100 M interest.
Compulsory buyout of all shares @ 40c (or more, see further below):
352 M x 0.4 = $ 140.8M
Total $990 M
Have $210 M over for pin money.
Too hard? It's an organisation full of lawyers ffs. They should know a way of making it happen.
P.S.
Anyone with more than 250,000 shares would have their $100K covered by the 40c buyout.
As soon as S&G were cash flow positive they could commence paying dividends.
If they earned $120 M and paid out half, the dividend would be
$60M / 12000 = $5000 pa ie 5%
The numbers could be tweaked. If share owners don't like 40c, how about $1? Everyone with 100K shares would be able to swap for a subscription.
Cost @ $1, $352 M.
Just fooling round with an idea. Legal or financial reality may prevent it. Are there enough who would subscribe at $100,000 a pop? I dunno. If for argument's sake you had 7 M shares now then you would be guaranteed to be able to buy 70 lots of $100K each. Paid all or in part
