Thorney is not allowed to vote on 1 or 2 as I see it as they are a beneficiary but they can vote on 3 as they are not part of the SOPHS. Any SOPH benefiting on 3 cannot vote on 3 but as I read it can vote on 1 and 2.
Not a nice situation as each can vote for that part they are not part of.
Its a simple majority for each resolution refer the notice of meeting at the bottom it says all 3 are ordinary resolutions so 50% plus 1 vote of those entitled to vote.
Will I vote in favour - No I think its time that management stop handing out freebees to others when shareholders would take up the offer.
