Because TLW are issuing 65 million "new" shares (capped) and I don't believe many Aussies will take the share deal.
Hence more TLW for those who take the script offer.
In other words, if no-one else took up the script deal then SG could conceivably convert all SG's HDR to TLW.
65,000,000TLW = 291,623,670HDR = 40% HDR.

Do you think 291,623,670 HDR share will convert?
