I didn’t want to say it, but that is my thought as well. Whomever the purchaser Is doing their DD, It’s in their interest to use a 3rd party to keep a lid on the share price as well, then do a share swap prior to transaction, money on the short side and buyer gets a lift after transaction. Deal gets done at X% over the 30 / 90 day vwap or whatever. I’m not an MnA expert but my eyes are also open to what goes on.
