The First Year is to be the 12 months
ending June 1, 2008.

The Executive Service Agreement of Dr Aaron
Ginzburg provides for the entitlement of the
following payments, once the Cardanal software
is successfully integrated into the Intelliheart test.

In the First tranche, if the Company’s share
price remains at or above 3.0 cents for 45
continuous trading days, the Company is to
pay Dr Ginzburg $100,000 and issue 5 million
shares in the share capital of the Company

At the close, the share price remained at or above 3c from 13th July 2007 to 12 Nov 2007 inclusive - 86 consecutive trading days

In the second tranche, if the Company’s share
price remains at or above 4.0 cents for 45
continuous trading days, the Company is to
pay Dr Ginzburg $100,000 and issue 5 million
shares in the share capital of the Company

At the close, the share price remained at or above 4c from 30th July 2007 to 29 Oct 2007 inclusive - 60 consecutive trading days

In the third tranche, if the Company’s share
price remains at or above 5.0 cents for 45
continuous trading days, the Company is to
pay Dr Ginzburg $100,000 and issue 5 million
shares in the share capital of the Company

At the close, the share price remained at or above 5c from 16th August 2007 to 2 Oct 2007 inclusive - 34 consecutive trading days

In the fourth tranche, if the Company’s share
price remains at or above 6.0 cents for 45
continuous trading days, the Company is to
pay Dr Ginzburg $100,000 and issue 5 million
shares in the share capital of the Company

The most consecutive days has been 11

In the fifth tranche, if the Company’s share
price remains at or above 7.0 cents for 45
continuous trading days, the Company is to
pay Dr Ginzburg $100,000 and issue 5 million
shares in the share capital of the Company

Needless to say, I have asked for a clarification, but I belive that Dr G. is entitled to $200k and 10 million shares and they don't want him to get anything more until they can afford to pay him, so they are keeping the SP down.

How's that for a conspiracy theory!!!
