Some points of interest for me now that Norgard and Patterson have folded to Wah Nam's will and accepted their offer are...
1) "The Board only considers directors to be independent where they are independent of management and free of any business or other relationship that could materially interfere with, or could reasonably be perceived to interfere with, the exercise of their unfettered and independent judgment. The Board has adopted a definition of independence based on that set out in the Investment & Financial Services Association Limited (IFSA) Blue Book (October 2004) (see Attachment 1)."
2) 3.3 Directors - " Directors will ensure that no decision or action is taken that has the effect of prioritising their personal interests over the Company’s interests." Wayne Richards name come to mind here anyone?
3)5.2 The Chair - "The Chair should be an independent Non-executive Director" Isn't this Mr Luk??
4) Independence of Directors - "are free from any interest, business or other relationship which could, or could reasonably be perceived to, materially interfere with the director’s ability to act in the best interests of the Company." Well Norgard and Patterson now have WNI interests and not BRM interests...correct?
Its all a bit of heavy reading for me but I'm questioning the so called "independence" of our directors now and if the company is in breach of its obligations to Brockman shareholders.
Norgard and Patterson no longer have my best interests at heart if they have accepted the WNI bid and hold WNI shares. Mr Beckwith has no BRM shares but is entitled to WNI options. Mr Luk - well he has exposure to millions of WNI shares and options and as far as we know is still assisting the ICAC with their investigations. Howard Chu - Has 20,000,000 WNI options and 0 Brockman shares. Richard Wright, Robert Brierley & Michael Spratt - Well I don't think they have shares in either company so perhaps they are independent?
What are other peoples thoughts on this?
