One independent director is scarcely going to be able to over-ride the rest of the board.
I am confident I would do a good job, but if I failed to do so I would be voted out in 12 months time. The onus is on me to perform, so I would be giving it my best effort.
I agree that ideally the board should recognise the need for additional board members, conduct a search and recommend a suitable person for election to the job.
In my view, the board of Hardman is on the small side and lacks sufficient independence, yet the directors have not made an effort to find appropriate board members.
If that is not your view and you are happy with the current board, please vote accordingly.
