    TO ALL Northern Manganese Limited (NTM) Shareholders
    IT IS with renewed conviction that we the RequisitioningShareholders, being Mr Brian Ryan, Mr Po Fung Lawrence Chan, Mr John Timothy Kingswood and Mr John Morris (through our shareholder entities control 7.8% of NTM) recommend to you the REMOVAL OF THE ENTIRE BOARD of Northern Manganese Limited, namely Messrs. Lloyd Jones, David Ryan and Garry Connell (Current Board).
    We take this opportunity to propose a NEW BEGINNING for NTM, focusing on a positive message for our Northern Territory assets. Vote FOR the resolutions because WE ARE FOR a positive future for NTM.
    WE the Requisitioning Shareholders have been approached by Mr Conway Bush, Indigenous Elder & Representative of Blue Mud Bay People in Northern Territory, to inform of the current status of relationship with the Current NTM Board.
    Mr Bush, who represents the MAJOR INDIGENOUS STAKEHOLDER in our Company’s Northern Territory manganese projects, is fully supportive of renewed corporate action and endorses New Leadership for Northern Manganese Ltd.
    IF YOU, AS A SHAREHOLDER, BELIEVE IN A NORTHERN TERRITORY RESOURCES STRATEGY
    WE URGE YOU TO
    VOTE TO REMOVETHE CURRENT NTM BOARD.
    The share price has fallenfrom 53c to just over 1c from February 2011 to June 2015.
    Administration expenses of the Company seem high - approximately $3.9M spent on administration since 3Q2011, compared to only $1.3M on Exploration & Evaluation during the same period.

    Q: What positive results from the expense of over $5M since 3Q2011? A: none
    WE the Requisitioning Shareholders consider NTM to have not yet managed to deliver upon the manganese and other mineral potential on the Company’s Northern Territory tenements and applications, as articulated in the Co-operation Agreement with Blue Mud Bay Parties (BMB Parties) in ASX release 20th June 2012.
    Follow up statements to ASX on 13th August and 28th November 2013, stating a strong working relationship with BMB Parties obviously failed to materialize. Ongoing indigenous veto and government moratorium issues, including the compensation process, are illustrative of this truth.

    New Directors of NTM intend to BUILDsignificant value from NTM projects and
    prospects in the Northern Territory, through New Leadership and consistent engagement
    withMr Bush and the BMB Parties.​

    THE Current Board
    has notdemonstrated or implemented a value-adding strategy for all NTM shareholders & stakeholders.
    IT is our intention to REMEDY our serious concerns and Motion ForChange.
    NEW DIRECTORS
    TO THE NTM BOARD the Requisitioning Shareholders would appoint a Non-Executive Board of Mr Jonathon Murray (Legal), Mr Bradley Denton (Project Finance) and Mr James Croser (Mining). Together they share the requisite experience to properly engage and restore shareholder value.
    Mr Jonathan Murray
    Mr Murray is a partner at a Perth based independent corporate law firm. He has over 17 years experience in equity capital markets, all forms of acquisitions and divestments, governance and general corporate compliance.
    Mr Bradley Richard Denton
    Mr Denton has 20 years’ international experience in resource business development with focus on project evaluation and mineral processing. He specialises in trade finance, negotiation and logistics oversight, early stage capital raising, debt and equity funding models.
    He is an experienced director and consultant to Singaporean, Indonesian and Australian offtake companies operating in international bulk commodities.
    Mr James Croser
    Mr Croser is a mining engineerwith 20 years’ experience in the Australian mining sector, from operations to technical and consulting roles. He currently manages a private mining company with gold assets in Western Australia’s Yilgarn region. He has held executive and statutory positions for several public and private resource companiesin recent years and holds a Western Australian First Class Mine Manager’s Certificate.

    IN SUMMARY
    WE the Requisitioning Shareholders seek your VOTE TO REMOVE the Board of NTM. Please vote FOR ALL RESOLUTIONS at General Meeting.
    We propose to REPLACE THE CURRENT NTM BOARD with an Experienced Teamwho,
    with the backing of Mr Conway Bush and the Blue Mud Bay Indigenous Stakeholders,
    have the requisite skills tobuild shareholder value.
