a recent trend is to use a scheme of arrangement to effect a takeover. It only needs 75% shareholder approval. That’s what happened to Bellamy’s. The board need to be on side for it to work, but usually all their options and bonuses pay out immediately when there is a change of control so they are not always aligned with the interests of mug punters
