The point is that no-one "knows" what KAR has at this point in time (not even KAR). Hence the "big boys" cannot come in with a full and fair offer.
All they could do at the moment is try an opportunistic low offer, to de-risk their position and maximize the upside.
For KAR shareholders, that is clearly not the optimum outcome. Not by a long way.
