At the date of this notice, the company had issued 722,669,905 ordinary shares.
If this resolution is approved by shareholders, the company will be able to issue 15% of this amount, being a further 108,400,486 ordinary shares without shareholder approval, in the 12 month period to 16 November 2017. The directors believe that it is important for, and in the best interests of, the company to have the ability to issue the maximum number of shares under Listing Rule 7.1 as it enables the company to move quickly and efficiently to undertake fund raising/issue capital when necessary. Directors’ recommendation: The Directors unanimously recommend that shareholders vote in favour of Item 2.
