S = $500M tax credit, Li production, 5 IO mines, port berths, scrip bid cheaper, more resources,
W = infrastructure, rail spurs to 5 mines, govt agree on port berths, royalty increases, cash bid loses AGO holders & FMG cash at bank
O = greater control of pilbara infrastructure, ports & rail, cheap price, blocks rivals, keeps loyal WA holders, sets up holding in MIN if lose, $10M profit in cash if HPP wins
T = MIN & HPP threats to FMG 3rd position, cost overrun, cash depletion, equity dilution, HPP becomes FMG holder

The bid is free under $500M in cash, if its scrip as I think it will be even more beneficial up to $800M imho.
Market sees an FMG bid is coming as bidder normally has share price drop and FMG has dropped since HPPs 19.9% acquisition/bid for AGO meaning market sees FMG counterbidding higher in scrip or cash so less for divvys or equity dilution coming.

Twiggy maybe prefers the AGO aussie shareholders over the poisonous lecherous yankee bondholders who have screwed AGO for the last 3 years, so this cheap buy of their cheap debt and even cheaper equity is payback for what they did to him in FMG ANL.

Twiggy bought AGO shares at 5c so why would he sell at 4.2c?!
He likes to buy, multibag and hold forever and doesnt like dilution.
He is in control with $1.3B cash at bank & holding 20% cheaply,
maybe his proxies/bankers have taken another 20% of AGO already last 12 months as there has been heavy buying last 12 months of the yanks shares at cheap prices 1.3c-4c already.
