    When a company takes on "capital raising or funding" for any purpose it has an obligation to the funder. In doing so, any profits or gains are jointly gained.

    There is a clear line or difference in which "funding" is not "loaning" .

    Selling shares is an obligation ,from board members and directors, to ensure the transpericy of transactions are for the companies benifit and not for any personel gains.
