I'll make it easy for you to understand.
If CF33 is as good as we hope it is, IMU's MC would be (X) let's say.
Having CF33 alone is great but as mentioned, you'll know that we will need a CAR-T to go with it. Yes that's puts us in a strong position but having all pieces (a CAR-T) will put us in a far superior position.
This position now exposes IMU to a industry worth 100s of billions if successful.
Therefore our MC becomes multiple (X) far out weighing the dilution and the $1B pay out as part of the deal.
The pay out would be less than 1% of what the industry would be worth and imugene would hold that key.
