    Totally agree but the wording of acting only in exceptional circumstances implies in a once off situation.  Exceptional or emergency is a once off situation and does not continue for 8 months. The Corporations Act would expect the appointment of a third INDEPENDENT Director as soon as possible. Too many excuses 

    Rogers should have been removed long ago because now both Directors are liable for his negligence and breaches
