Finally worked my way through the Central Scheme Deed. WOW
I think that I am a reasonably intelligent person, but some of the individual clauses in this Deed have so many twists and turns that I get lost. How can all members of the Board who are bond by this document fully understand every single clause included here; and all the mom and pop investors that this has been presented too? If you cannot understand a document you sign is it still legal. Ok, finished my venting.
My real concern is that the Board can no longer represent the shareholders interest. When I am sitting in the Scheme Meeting to be held about May 29, I will not be able to accept anything that the Board or MD says as they are bond by this agreement to show support for this agreement. In addition to this gag order there is Clause 13.2 No-Shop and 13.3 No-Talk, which prohibits the Board and MD from looking for a better deal for its Shareholders. The moment that the Board and MD agreed to this they lost their ability to fully support the Shareholders and should have submitted their immediate resignation.
