Unless you personally know the guy, since there hasn't been any public information, we can assume Shane only resigned as the Director of Alto, he has not sold his shares in Alto Capital. Being the founder of Alto, he is easily one of the biggest shareholders there, and will indirectly benefit from doing corporate transactions for DC2 potentially via a dividend.
One of the ASX recommendations for corporate governance is to avoid conflict of interest, or in case there is a conflict of interest, it should be declared. Shane is a major shareholder of Alto, Alto does corporate deals for DC2 and Shane is now the Chair of DC2, a client of Alto. There is a clear conflict of interest, which neither DC2 nor Shane had declared.
Also based on track record of these guys, I'll take their words with a grain of salt.
