The placement & the "funding arrangement" can be thought of as two different components. (Although, of course, they would've been negotiated at the same time)
$2.05 m comes in as a placement, then $1.6m goes out as a fee for entering into the "funding arrangement". It's possibly the most expensive form of financing I've seen. It comes across almost as a payday loan.
