Chris, the $1.6 million does not go out as a fee. The amount goes into an account at Bergen and drawn back by HAV in monthly payments at 90% of shareprice price for 5 days preceding at time monthly payment due. In effect the $2.05 million transaction never happened, $450,000 was only the amount the company has received in the hand. Hence why the following line was in the agreement.
"This payment may be offset by the Investor (Bergen) from the Subscription Amount",
