I wouldnt argue that the fundamentals have changed significantly, but the ownership and dilution certainly will.

Now granted you need to raise capital to get up and running. My point is these convertible notes give the holders the best of both worlds at the expensive of other shareholders. And perhaps more importantly, it gives someone or a group considerable incentive to keep the price down for some time.
