look. is easiest to explain by way of an example. if a takeover was announced and succeeded at 50cents per share. then the denominator under (i) 97.5% of 50cents is 48.75cents or under (ii) is the 20 day vwap(lets guess 27cents) plus 50% of 50c minus 27 cents which is 38.5cents. so (ii) is the smaller denominator . which means you get more value..
