"they can't pay more than the final offer price"
Not while the 42c offer is current but after that there is still a question mark. The current offer will expire and anyone that holds past that date will have to be desperate to sell for less than the current offer. If their holding is less than 90% at that stage and they want to get over the threshold they may have to deal with those still holding.
