The board and the nominee accounts will vote yes to the options because they have to play the corporate BS games. Scott's 70m+ shares and the rest are at least 25%. There are still some retail on the T20 including myself. I can't speak for the others but I will vote no. It will take the majority of retail to actually vote for this to not get up.
