As far as I know about 249D is that a shareholder with at least 5% holding can give notice and call a meeting to vote on resolutions to remove directors. Possibly the director can't vote with there own shares!!
A majority of shareholder votes can vote out directors. Directors appoint the CEO.
A 249D is happening to JAT at the moment.
Anyhow as long as Jimmie keeps making net profits I doubt a vote will get up.
