Is it lightly the JV has a clause saying if you breach a condition or do something illegal the agreement is null and void?
Say you have a property worth 10 million, I am your solicitor, I do some research and find out it is worth considerably more than that, I know a buyer who will pay $15m for a property with those features. I approach you and say I really like the place and offer $11m, we settle on 11.5m. A month after the deal goes through I resell for $15m. Will the judge take all the money off me and give it back to you? Quite possibly. But say I dont know for sure how much the property is worth, I suspect it is worth more and I know you want to do a deal, it is a buyers market. I am offering a fair amount under the circumstances. I get valuations done. As a solicitor I know lots of things, I dont tell you everything because its not relevant. 10 years latter the property is worth $100m. Will the judge make me hand all the money back to you?
