My take on it, and again, I could be wrong is:

THey are buying the pre-emptives from Company A (oroplata from memory).

Instead of forking out cash, they are using options and an issue of shares. As far as I could tell, they are doing this without cash.

Now, please anyone with a better or more correct take, please tell me.

I assume the capital raising (mentioned at the end of the announcement) is for working capital, and to further expand the resource base. From reading in between the lines, this raising is either in the wings, or just about to be signed. If so, that would be very very positive for holders.
