3.7 HealthLinx's Prepayment Right
If on the day La Jolla issues a Conversion Notice, the Volume Weighted Average
Price is below $0.010 (Floor Price), HealthLinx will have the right, by no later than
3.00pm Sydney time on the date that is 2 Business Days after HealthLinx's receipt of
the Conversion Notice, to prepay that portion of the Principal Amount of the First Note
that La Jolla has sought to convert pursuant to the Conversion Notice, plus any
accrued and unpaid interest, at 107.5% of such amount. The Floor Price is subject to
adjustment downwards in certain circumstances.
