No, Venus has to prove that there was a CA in place, that confidential information was disclosed, and that the defendant's acted contrary to their fiduciary duties to the benefit of SPX.
Venus doesn't need to prove what parts of the confidential information disclosed under the CA was relied on by SPX to make it's decision to acquire PW, merely that the information was disclosed and available and that SPX acted.
