I can't see how it is remotely possible that CL could be part of any takeover, unless it is for the benefit of all shareholders, and by 'benefit' I meann a substantial SP price increase.
ASIC would have to investigate CL's actions whilst MD, and his role/capicity if connected with any PE venture proposing a takeover. We are definitely in for an interest situation in the coming months.
