Directors sell for various reasons. I once held shares in Bow Energy (Coal Seam Gas) - they were bought out. Before the buyout, several suitors were circling, however, the Chairman sold 15% of his holdings. Why didn't he just hold on for a higher price (he sold his 15% stake at half the eventual takeover price which cost him a few mill)? His daughter was getting married and decided to gift her and his son in law a house (a very, very nice house) while also buying his son a pad in Brisbane. As I say, Directors sell for various reasons. And any selling in advance of "bad market news' is insider trading.
