Harry7, I think the point you raise is the crucial one. What are Heathgate's obligations? They would have obligations both at common law and under the jv agreement. I am afraid I don't know enough about the corporate law to say more than that Heathgate have an obligation to act 'in good faith'. I would be very interested to hear from any HC posters who may have more to add on this point. Surely we have some legal types able to give us all a good education?
