    De novo, the filing of the 1st NTMA was against the advice of their lawyers, Neal Blue ordered the inclusion of Beverley in the application.

    The 2nd attempt excluded Beverley, though as Q believed they were acting as the agents for the JV, they again decided not to include AGS in the NT negotiations or the application again.

    Obviously they were not acting in good faith towards their JV partner. Thus the reason for settlement.
