Good of you to ask a question. You have asked for my opinion in relation to the "no money/shares" aspect.
Couple points:
- firstly ML has said he is willing to work for options, not shares. They are different equity instruments. Shares vest instantly and effects the register and would be more aggressive or favourable to the participant, the latter has performance or market criteria known as vesting conditions, and will only vest if performance or market criteria is achieved and if the party decides they are worth exercising, typically when they are in the money. Options are there for more arguably in the best interests of shareholders as they can lapse if performance is not achieved.
- this leads me my second point, the options will have market or performance criteria. They will be worthless to ML if he and the company can't kick goals so to speak, so seeing that he has said this, he obviously is very confident he can kick goals straight in front 15m out and also 60m out tucked on the boundary line.
- thirdly, the board will decide the parameters and conditions of the options so there has to be a collective agreement at the top that's its fair and reasonable based on the work achieved.
- fourth, as its remuneration related, shareholders have the ultimate say by having to ratify them at the next AGM, if
shareholders think they are unreasonable, we can say no. ML won't even be able to vote on those resolutions so it's purely a shareholders say.
- fifth, ML will be a non executive director so it's not as if he will work in an executive capacity, so I don't see it too much of a stretch for him to not want to work for no cash... mind you the effort he will put in, I believe will almost be like he is an executive. However I believe he has many contacts he can tap into to do the work for him. Sometimes in life it's more important who you know not what you know, ML to me, appears to have a fair bit of both and I can tell you, there is a strong view out there that agree.
