How about this theory...
Euroz agree to underwrite out of solidarity with their group of "sophisticated investors" who they signed up at 7c for the placement.
These sophisticated investors would not be happy if Euroz had completely dumped them in it... the limited underwriting agreement is likely to placate Euroz's clients, not to help out OEL.
I'd say this is also why the directors are takign stock at 7c - it is part of the deal with Euroz (partly punishment).
