The Share Purchase Agreement with the vendors of DIAsource provides for an Earn Out based on performance criteria relating to Sales of RIA and Vitamin D products and Gross Margin. At the time of purchase the Earn Out performance against the cirteria was assessed and an Earn Out of €3,445,398 estimated.
So the 5.8 m is a bit out of date
