Some good responses to your question here already - also remember that the "intent" to recommend accepting the offer was contingent on a number of requirements (ie. DD, independent assessment, better offer coming they may or may not know about etc) - @ChocolateTeapot has a good breakdown of the wording somewhere.
I like thinking about this almost with a sarcastic undertone from the Board...
"Sure guys, IF you can SOMEHOW prove to the world that this is in the best interest for everyone (good luck) - we'll back you. Until then, thanks for publicly rerating our the value of our company in this messy environment"
