The structure should be similar to The purchase of the FFX interest in the Morila Mine from Barrick Gold Corporation and AngloGold Ashanti, who each held an effective 40% interest in Morila SA with the State of Mali owning the remaining 20%.
To use your Structure, I would think, slightly adjust, as follows:
The only owners of GoulaminaCo (Lithium du Mali) should be LithiumCo(new ASX coy), PartnerCo and FFX(holding the Mali gov interest until they request/ FFX offers them 10%)
FFX should hold 20%of the shares in GoulaminaCo (Lithium du Mali)
