Until at least construction is complete i would not think working capital requirnments would be high enough to warrant a raise as part of the spin off. With the Commercial agreement in place maybe initially an intercompany loan.
Much better to wait until production is in sight and raise cash at a way higher SP level.
FFX As part of the commercial agreement may even complete some or most admin processes to avoid duplication of duties.
